I. GENERAL TERMS AND CONDITIONS

  1. The terms and conditions of Noras Oil's online store (e-store), located at norasoil.com, hereinafter referred to as the "Terms," constitute an integral part of the distance contract entered into by the parties – the Buyer and the Seller – based on the order placed by the Buyer in the Noras Oil e-store.

  2. Definitions:

    • Noras Oil or Noras Oil e-store – refers to the electronic store located at norasoil.com, which the Buyer uses to place orders and is owned by UAB "PNK Oil," legal entity code 304604563, registered address: SvajonÄ—s g. 15, LT-94101 KlaipÄ—da, engaged in its economic activities by offering and selling goods to the Buyer in accordance with these Terms.

    • Seller – UAB "PNK Oil," legal entity code 304604563, registered address: SvajonÄ—s g. 15, LT-94101 KlaipÄ—da.

    • Buyer – an individual purchasing from the Noras Oil e-store or using other services provided by the Noras Oil e-store. To make purchases on the Noras Oil e-store, only fully capable natural persons, i.e., individuals who have reached the age of majority, whose legal capacity is not restricted by a court order, and legal persons acting through authorized representatives registered in accordance with the Terms, have the right to do so.

    • Delivery – the delivery of the goods ordered by the Buyer to the address specified by the Buyer in the Buyer's order, within the designated delivery area as indicated on the Noras Oil e-store's website under the "Delivery" section.

  3. The minimum order amount is 10 EUR; orders with lower prices are not allowed.

  4. A distance purchase and sale agreement (hereinafter referred to as the "distance agreement" or "purchase and sale agreement") is considered to be concluded when the Buyer, in Noras Oil e-store, formulates an order for goods, selects a payment method, provides a delivery address, submits the necessary Buyer's data or other Buyer characteristics as required by the laws of the Republic of Lithuania, and confirms the order. The agreement is valid until the fulfillment of the agreement or its termination in accordance with the provisions of the Terms or legal acts. A violation of the Terms may be considered a basis for terminating the distance agreement.

  5. The Terms are a binding document that sets forth the rights and obligations of the Buyer and the Seller, the conditions for the acquisition and payment of goods, the procedure for the delivery and return of goods, the liability of the parties, and other provisions related to the purchase and sale of goods in the e-store.

  6. The Seller has the right to amend or supplement the Terms at any time, present the Terms in a new edition, or cancel the Terms. Buyers who have registered will be informed about any changes, amendments, or supplements to the Terms during their login to the Noras Oil page and will need to reconfirm their acceptance or non-acceptance of the Terms (in case of non-acceptance, the Buyer will not be allowed to place an order). Changes to the Terms apply only to goods ordered after the amendment of the Terms.

  7. This version of the Terms is valid from July 3, 2023, and replaces all previous versions of the Terms that were in effect for orders placed in the Noras Oil e-store.

  8. Orders in the Noras Oil e-store are only processed in locations specified on the Noras Oil e-store's website under the "Delivery" section.

  9. By placing an order, the Buyer confirms that they have familiarized themselves with the Terms, understood them, and agree to them (consent is expressed by checking the box next to the statement "I have read and agree to the Noras Oil terms and conditions"). Until the Buyer has familiarized themselves with the Terms and agreed to them, the Buyer is not allowed to place orders on the norasoil.com e-store.

  10. The Seller sends all messages to the Buyer to the email address provided by the Buyer during registration or in the order form. The Buyer sends all messages and inquiries to Noras Oil e-store's website through the "CONTACTS" section's specified means of communication.

  11. Noras Oil has the right, without prior notice, to restrict the Buyer's use of Noras Oil e-store services or terminate the Buyer's registration if the Buyer uses the Noras Oil e-store in violation of these Terms, attempts to harm the Noras Oil e-store or orders executed by Noras Oil, or jeopardizes the stability and/or security of the Noras Oil e-store. The specific measure is chosen by Noras Oil at its discretion, following the principle of proportionality.

  12. In the event of force majeure circumstances, Noras Oil has the right to suspend the fulfillment of the agreement until the force majeure circumstances cease, by informing the Buyer of the suspension of order fulfillment. If further performance of the agreement is no longer relevant to the Buyer, the Buyer has the right to terminate the agreement by notifying Noras Oil. When Noras Oil suspends its activities but has the opportunity to fulfill confirmed orders, all rights and obligations specified in these Terms or applicable laws related to orders already fulfilled or in progress shall remain in force.

  1. The Seller may temporarily suspend or completely terminate the operation of the Noras Oil e-store by publicly announcing it on the Noras Oil e-store. Orders placed before the suspension or termination of the Noras Oil e-store's operation will be fulfilled in accordance with these Terms.

II. BUYER REGISTRATION AND PERSONAL DATA PROTECTION

​

  1. The Buyer can use Noras Oil e-store services and place an order as follows:

  • Guest (Buyer without an account): In this case, before placing an order, the Buyer must provide the following information: name, surname, email address, mobile phone number, and address if the Buyer chooses delivery to a specified address.

  • Registered Buyer: In this case, the Buyer must create a Buyer account in the Noras Oil e-store using an email, mobile phone number, and password. If the Buyer chooses to have an order delivered to a specific address, this address must be saved in the Buyer's account for future orders. To create a Buyer account, it is necessary to provide additional information, such as name, surname, contact information, and indicate communication preferences. In the case of a legal entity's authorized representative, the legal entity's name is provided instead of the name and surname.

  1. The Buyer is responsible for providing accurate and truthful information. After registration, the Buyer bears full responsibility for keeping their password confidential and not disclosing it to third parties. If the Buyer's registration information changes, they must update it promptly. Under no circumstances will the Seller be liable for any damage caused to the Buyer or third parties due to the Buyer providing incorrect or incomplete personal data or failing to update or supplement the data when it changes. All actions taken using the Buyer's account are the responsibility of the Buyer. If someone other than the Buyer uses the Buyer's account, Noras Oil will consider that the Buyer is using the account, except when the use of the Buyer's account is made available to a third party by the Seller. If the Buyer loses their login credentials for their Buyer account, the Buyer must inform Noras Oil immediately by calling the phone number provided in the "Contact" section of the Noras Oil e-store's website or by sending a message to the email address listed in the same contact section.

  2. By selecting communication preferences, the Buyer chooses whether they want to receive messages and useful offers from Noras Oil. The Buyer can also choose the communication channels through which Noras Oil will send messages or offers. If the Buyer chooses to receive messages and offers, it implies that the Buyer agrees to receive messages and offers from Noras Oil through the communication channels selected by the Buyer.

  3. If the Buyer no longer wishes to receive messages and offers, they can change their notification settings in their Buyer account.

  4. Notifications regarding order fulfillment and account registration (such as order confirmation, account registration confirmation, invoices, order cancellations) will be sent to the Buyer even if the Buyer has chosen not to receive messages, as these notifications are essential for order fulfillment and informing the Buyer about the status of their order.

  5. Noras Oil has the right to collect and process personal data provided by the Buyer to Noras Oil and, if necessary, disclose it to third parties when necessary for order fulfillment, data processing, or Noras Oil's business planning and analysis. The Buyer's personal data is used to identify the Buyer and the recipient of the goods, to prepare and deliver orders, issue invoices, refund payments for returned goods and overpayments, administer financial and other obligations arising from these Terms and the distance contract, and provide other services offered in the Noras Oil e-store. Noras Oil also has the right to use the Buyer's personal data for advertising and information purposes within the scope of Noras Oil's activities. The Buyer's data can only be used with the Buyer's consent (i.e., by checking the box next to the statement "I agree to receive marketing messages from Noras Oil and am informed of the right to opt out at any time"). The Buyer has the right to prohibit the collection and processing of their personal data at any time, except when such processing is necessary for the fulfillment of the obligations arising from the contract between the Buyer and the Seller or for order fulfillment. The Buyer has the right to withdraw their consent to receive marketing messages at any time. Data about Noras Oil e-store Buyers and visitors is protected against loss, unauthorized use, and alteration. More detailed information about the processing of personal data is provided in the Noras Oil Privacy Policy, published on the Noras Oil e-store's website under the "Privacy Policy" section.

  6. The Buyer has the right to freely change, supplement, or delete their registration data at any time.

III. BUYER'S RIGHTS

​

  1. The Buyer has the right to purchase goods in the ASSORTI e-store under the conditions set forth in these Terms and the specific terms of sale applicable at the time of purchase in the Noras Oil e-store.

  2. The Buyer - a consumer (according to Article 6.2281(2) of the Civil Code of the Republic of Lithuania, a consumer is a natural person who, for purposes unrelated to their business, trade, craft, or profession (consumer purposes), enters into or has entered into an agreement, has the right to withdraw from a distance contract within fourteen days, without specifying a reason and without incurring costs other than the direct costs of returning the goods, except as provided in point 23 of these Terms.

  3. The right of the Buyer - a consumer to withdraw from a distance contract shall not apply to the following contracts:

  • Contracts for services where the services have been fully provided to the Buyer with their clear consent and acknowledgment that they will lose the right to withdraw from the contract when the Seller fully performs the contract;

  • Contracts for goods made according to the Buyer's specific instructions, which are not prefabricated and which are made to satisfy the Buyer's personal needs or are clearly personalized;

  • Contracts for perishable goods or goods with a short shelf life;

  • Contracts for sealed goods that are not suitable for return due to health or hygiene reasons and were unsealed after delivery;

  • Contracts for goods that are, by their nature, inseparably mixed with other items after delivery;

  • Contracts for sealed audio or video recordings or sealed software that were unsealed after delivery;

  • Contracts for the delivery of newspapers, periodicals, or magazines, except for subscription contracts for these publications.

  1. The period for withdrawal from a distance contract, as specified in point 22 of these Terms, shall expire fourteen days after the day when the Buyer - a consumer or a person designated by the Buyer, other than the carrier, receives the ordered goods, or:

  • If the Buyer has ordered several goods in one order, and the goods are delivered separately, from the day when the Buyer or the Buyer's designated person, other than the carrier, receives the last item;

  • If the goods are delivered in several batches or parts, from the day when the Buyer or the Buyer's designated person, other than the carrier, receives the last batch or part;

  • If a contract is concluded for the regular delivery of goods over a specified period, from the day when the Buyer or the Buyer's designated person, other than the carrier, receives the first item.

  1. The Buyer - a consumer shall notify the Seller of the withdrawal from a distance contract by:

  • Submitting a properly completed standard withdrawal form. This form is approved by the Government of the Republic of Lithuania or its authorized institution; or

  • Submitting a clear statement expressing their decision to withdraw from the contract.

  1. The goods must be returned to Noras Oil after agreeing on the time and place of return. To arrange the return of goods, the Buyer should use the contact details provided on the Noras Oil e-store's website under the "Contacts" section.

  2. The returned high-quality goods must be undamaged, must not have lost their commercial appearance (labels must not be removed or damaged, protective films must not be peeled off, etc.), must retain their consumer properties, and must not have been used. The goods must be returned in their original packaging, in the same configuration as received by the Buyer, and must include the purchase document, warranty card (if issued), user instructions, and other accessories of the goods. If the goods are not fully equipped, damaged, untidy, or not properly packaged, Noras Oil reserves the right not to accept the goods and not to refund the money paid by the Buyer for the goods. The goods will be considered properly packaged if they are returned in undamaged packaging, as they were handed over to the Buyer.

  3. The money paid for goods accepted by the Buyer but later withdrawn and returned shall be refunded to the Buyer's account no later than within 14 (fourteen) days from the date of receipt of the Buyer's notice of withdrawal from the contract.

  4. When returning high-quality goods that match the Buyer's order, the delivery cost of those goods is also refunded to the Buyer. The delivery cost is refunded along with other amounts paid by the Buyer to Noras Oil for the returned goods.

  5. Other Buyers (legal entities or natural persons conducting business) may exercise the right to withdraw from the concluded contract based on legal acts and procedures.


IV. BUYER'S OBLIGATIONS

​

  1. The Buyer, using the Noras Oil e-shop, undertakes to comply with these Terms and not to violate the laws of the Republic of Lithuania.

  2. The Buyer must accept the goods and pay the agreed amount for them in accordance with these Terms. If the Buyer chooses to pay for the goods at the time of ordering, the Buyer must pay for the goods no later than 3 (three) days from the date of placing the order.

  3. If there is a change in the data provided in the Buyer's registration form, the Buyer must update them without delay.

  4. The Buyer undertakes not to disclose their login details to third parties.

  5. If the Buyer refuses to accept the goods during delivery, for which the right to withdraw from the purchase and sale agreement applies when purchasing (exceptions specified in Clause 23 of the Terms), it is considered that the Buyer has refused the purchase and sale agreement, and the Buyer must return the goods to the Seller in accordance with the procedures specified in Section III of the Terms.

V. ORDER FULLFILMENT

​

  1. If the Buyer chooses to pay for the goods by bank transfer, the Seller has the right to cancel the Buyer's order in advance if the Buyer does not pay for the goods within 3 (three) days from the date of placing the order.

  2. A delivery fee, as indicated on the Noras Oil e-shop website under the "Delivery" section at the time of placing the order, applies to the delivery of goods. Noras Oil reserves the right not to apply the delivery fee if the order amount reaches and exceeds a certain amount unilaterally set by Noras Oil for that order.

  3. The delivery fee is not included in the minimum order amount.

  4. The Seller will make every effort to fully fulfill the Buyer's order but cannot provide any guarantees. If, at the location where the order is being assembled, there is an insufficient quantity or no stock of the ordered item, the Seller reserves the right not to deliver the goods, deliver a smaller quantity of goods, or select a product similar to the one ordered by the Buyer, or as similar as possible in terms of its characteristics. If the Buyer is dissatisfied with a partially delivered order or an order that does not meet its completeness, the Buyer has the right to withdraw from the purchase and sale agreement by notifying Noras Oil e-shop in writing using the contact methods specified in the "Contacts" section of the website, no later than 1 (one) working day before the expiration of the notice period, and the return of goods and money for goods is carried out in accordance with the procedures specified in Section III of the Terms.

  5. If the price of similar products selected by the Seller is lower than what the Buyer has paid, the price difference between the paid and actual prices is refunded to the Buyer's account no later than 3 (three) working days from the delivery of the goods. If the price of similar products is higher, the Buyer will not need to make an additional payment.

  6. If the Buyer is dissatisfied with the similar product selected by the Seller, the Buyer can return this product at the time of delivery of the goods. The fact of return is recorded on the invoice, waybill, or other shipment delivery-receipt document (electronic devices are also considered documents).

  7. If the Buyer has paid for the goods at the time of ordering, the money paid for the goods by the Buyer but not delivered by the Seller, as well as similar goods returned by the Buyer during the shipment, will be refunded to the Buyer's account within 3 (three) working days.

  8. The goods ordered by the Buyer are delivered to the Buyer's registered address in the Noras Oil e-shop system.

  9. If it is not possible to deliver the ordered goods in one shipment, the Seller has the right to deliver the goods in multiple shipments.

  10. If the Buyer chooses to have the goods delivered to a medical or any other public institution or other non-residential premises, the Buyer agrees to accept the order at the main entrance of the institution or building.

  11. In cases where the Buyer is not found at the delivery address specified in the Noras Oil e-shop system, the Seller has the right to deliver the goods to any other adult person at the specified address or to a person of the required age (when delivering alcoholic beverages), and the Buyer has no right to make any claims to the Seller regarding the improper delivery of goods.

  12. If the delivery of goods is impossible due to the Buyer's fault or due to circumstances under the Buyer's control (the Buyer provided an incorrect address when registering with Noras Oil e-shop, the Buyer cannot be found at the specified address, the person receiving the goods is a minor, presented an invalid identification document, or refused to provide an identification document, the Buyer or the person receiving the goods has not reached the required age and/or does not meet other requirements (when the Seller must verify the age of the person receiving the goods according to applicable laws or these Terms), except when the Buyer pays an additional fee for redelivery), in such cases, the money paid for the goods is refunded in advance, less the cost of delivery and packaging. If a delivery fee discount was applied to the Buyer at the time of ordering, but the delivery of the goods is not possible due to the Buyer's fault or due to circumstances under the Buyer's control, the Seller reserves the right to deduct the entire delivery and packaging fee from the amount to be refunded to the Buyer (applicable at the time of placing the order), regardless of any discounts applied at the time of ordering.

  13. The Seller delivers the goods to the Buyer at the time specified by the Seller (time limits). The Buyer agrees that in exceptional cases, the delivery of goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such cases, the Seller undertakes to contact the Buyer without delay and coordinate the issues of delivering the goods. If it is not possible to agree on the postponement of the delivery of goods with the Buyer, and the Seller delays the delivery of goods or more than 1 (one) working day, the Buyer has the right to withdraw from the purchase and sale agreement by notifying Noras Oil e-shop in writing using the contact methods specified in the "Contacts" section of the website, no later than 1 (one) working day before the expiration of the notice period, and the return of goods and money for goods is carried out in accordance with the procedures specified in Section III of the Terms. If among the Buyer's ordered goods there are alcoholic beverages, all goods will be delivered to the Buyer no earlier than 10 a.m. and no later than 8 p.m., on Sundays no earlier than 10 a.m. and no later than 3 p.m., within the time limits chosen by the Buyer on the day chosen by the Buyer (except for September 1, when alcoholic beverages are not delivered).

  14. In all cases, the Seller is released from liability for exceeding the delivery terms of goods if the goods are not delivered to the Buyer or are not delivered on time due to the Buyer's fault or circumstances beyond the Buyer's control.

  15. During the delivery of goods, the Buyer must check the condition of the shipment, the quantity of goods, the external appearance of the goods, and completeness together with the Seller (courier). If the Buyer does not check the condition of the shipment, completeness of the delivered goods.

VI. PRICES OF GOODS, PAYMENT TERMS, AND DEADLINES

​

  1. The prices of goods in the Noras Oil online store are indicated in euros (EUR). All prices are provided inclusive of any value-added tax or other taxes. The products are sold at the prices valid at the time of placing the order. Bank charges may apply depending on the bank used by the Buyer.

  2. If the price of a product in the Noras Oil online store differs from the Noras Oil physical store at the time of placing an order, the Noras Oil online store price applies. If the price of a product in the Noras Oil online store differs from the price indicated on the product's packaging, the Noras Oil online store price applies. Promotions and other marketing campaigns in the Noras Oil online store and in physical stores selling our products may vary.

  3. The Buyer can only pay for the placed order using the payment methods specified in the Noras Oil online store payment menu (Noras Oil online store website section "Payment").  Payments are processed using the MakeCommerce.lt payment platform. Payment for the goods must be made before the goods are handed over.

VII. WARRANTY OF PRODUCT QUALITY AND FITNESS FOR USE PERIOD

​

  1. Each product is subject to the warranty period specified by the manufacturer of that product, but in any case, the warranty period is not shorter than the statutory warranty. If a product becomes defective during the warranty period, repairs are carried out under the conditions set out in the warranty. The Seller does not provide warranty maintenance services for products and, in each specific case, directs the Buyer to an authorized warranty service center.

  2. The basic characteristics of each product sold by Noras Oil are indicated in the product description.

  3. The Seller is not responsible if the products in the Noras Oil online store do not match the actual size, shape, or color of the products due to the features of the Buyer's display or other technical reasons beyond Noras Oil's control, taking into account reasonably possible discrepancies in appearance.

  4. In cases where additional product quality guarantees are not provided for certain types of products, the statutory product quality guarantee applies.

  5. The Seller undertakes to sell the products to the Buyer in such a way that the Buyer is given a real opportunity to use such products until the end of the fitness for use period. In the case of extremely short warranty periods, products in the Noras Oil online store are marked with a special warning sign.

  6. The Seller confirms that they are responsible for the sale of products ordered through the Noras Oil online store, the proper delivery of purchased products, the quality of the products, the proper fulfillment of return conditions, and the implementation of other rights and obligations of the Seller prescribed in the legal acts.

VIII. FINAL PROVISIONS

 

  1. These Rules are compiled in accordance with the laws of the Republic of Lithuania.

  2. The relationship arising from these Rules shall be governed by the laws of the Republic of Lithuania.

  3. In the event of damage, the guilty party compensates the injured party for reasonable losses in accordance with the laws of the Republic of Lithuania.

  4. All disputes arising from the implementation of these Rules are resolved through negotiations. In the event of failure to reach an agreement, disputes are resolved in accordance with the laws of the Republic of Lithuania.

  5. Each Buyer-consumer has the opportunity to resolve disputes with Noras Oil electronically, without going to court. First, the consumer must contact Noras Oil in writing, and within 14 days from the receipt of the complaint, if Noras Oil does not respond to the consumer's complaint or if the consumer is dissatisfied with the response, the consumer may apply to the out-of-court consumer dispute resolution body, i.e., the State Consumer Rights Protection Authority (Vilnius, Vilniaus g. 25, email: tarnyba@vvtat.lt, tel. 852626751, website www.vvtat.lt), or its territorial branches in counties, or fill out an application form on the Electronic Consumer Dispute Resolution (ODR) platform (http://ec.europa.eu/odr), created by the European Commission to implement Directive 2013/11/EU on alternative consumer dispute resolution (ADR) and Regulation (EU) No 524/2013 on online consumer dispute resolution.
